Luxunion S.A., Foyer Finance S.A. and Luxempart S.A., Leudelange, Luxembourg (together 'Luxempart') informed us on December 21, 2021 pursuant to Art. 43(1) WpHG thereby making reference to the exceedance of the threshold of 10% from December 02, 2021, as follows:
 
  • The investment serves the purposes of implementing long-term strategic goals and generating trading profits.
  • Luxempart does not rule out the possibility of acquiring further voting rights, depending on the development of the market and the company.
  • Luxempart is currently represented by one representative on the Board of Directors and aims to continue to support the Board of Directors in attracting further independent candidates in order to promote an active entrepreneurial approach.
  • Luxempart will continue to support a significant improvement of the issuer's capital efficiency within the meaning of value-based company management. No significant change to the capital structure of the issuer is intended to be made, in particular regarding the ratio between equity and debt financing as well as the dividend policy.
  • Luxempart declares that the acquisition of the voting rights by Luxempart was made using its own funds.
